These Terms & Conditions ("Terms") govern your access to and use of seniornet.dev and any related websites, applications, educational materials, courses, mentorship services, communities, content, subscriptions, and digital products made available through seniornet.dev (collectively, the "Service").

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2Nature of the Service

seniornet.dev is an edtech project that may provide educational content, online courses, learning materials, mentorship, coaching, technical resources, assignments, community features, and other related digital services for learning and professional development.

We may update, change, suspend, or discontinue any part of the Service at any time, with or without notice, unless otherwise required by applicable law.

3Eligibility

You may use the Service only if:

  • you have the legal capacity to enter into a binding agreement under applicable law;
  • you use the Service for lawful purposes only; and
  • where required by applicable law, you have obtained consent from a parent or legal guardian.

If you use the Service on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

4User Accounts

Some parts of the Service may require you to create an account.

You agree to:

  • provide accurate, current, and complete information;
  • keep your account information updated;
  • keep your login credentials confidential;
  • not share your account with any third party; and
  • accept responsibility for all activities that occur under your account.

You must notify us immediately at vf@nearshore-devs.com if you become aware of any unauthorized access to your account or any other security incident.

We may suspend or terminate your account if we reasonably believe that you have violated these Terms or applicable law.

5Educational Purpose Only

The Service is provided for informational and educational purposes only.

Unless expressly stated otherwise:

  • the Service does not constitute employment services, recruitment services, or guaranteed job placement;
  • the Service does not constitute accredited education, state-certified training, or an officially recognized qualification;
  • we do not guarantee any specific educational, professional, financial, or career outcome.

Your results depend on many factors beyond our control, including your background, experience, effort, consistency, market conditions, and individual circumstances.

6Payments, Pricing, and Paid Services

Some parts of the Service may be offered on a paid basis.

If you purchase any paid course, subscription, program, or digital product, you agree that:

  • the applicable price, currency, features, and access period will be shown at the time of purchase;
  • you will pay all applicable fees and taxes;
  • payment processing may be handled by third-party payment providers; and
  • access to paid content may be suspended or revoked in the event of failed payment, chargeback, suspected fraud, or breach of these Terms.

We may change pricing for future purchases at any time. Any pricing change will not affect services already paid for, unless otherwise stated at the time of purchase or permitted by law.

7Subscriptions and Auto-Renewal

If the Service includes recurring subscriptions, the subscription may renew automatically for successive billing periods unless cancelled before the renewal date.

Unless otherwise stated on the checkout page or in a specific offer:

  • subscription fees are billed in advance;
  • the payment method you provide may be charged automatically on renewal; and
  • if you cancel, your access will continue until the end of the paid billing period.

8Refunds and Cancellations

Unless otherwise stated on the relevant product page, in a separate refund policy, or required by applicable law, payments for digital products, online content, and services already made available to you are non-refundable.

Nothing in these Terms limits any mandatory consumer rights you may have under applicable law. Where mandatory law grants a right of withdrawal, cancellation, or refund, such rights will apply to the extent required.

9Acceptable Use

You agree not to:

  • use the Service in violation of any law or regulation;
  • infringe the rights of any third party;
  • upload or transmit malware, malicious code, spam, or fraudulent content;
  • attempt to gain unauthorized access to any system, data, account, or network;
  • scrape, copy, reproduce, republish, distribute, resell, sublicense, or exploit the Service or its content without prior written permission;
  • interfere with or disrupt the operation or security of the Service;
  • post unlawful, abusive, defamatory, discriminatory, obscene, or otherwise harmful content;
  • impersonate another person or falsely represent your affiliation with any person or entity.

We may investigate violations and take any action we consider appropriate, including account suspension, content removal, access restrictions, or legal action.

10Intellectual Property

Unless otherwise stated, all content and materials available through the Service, including course materials, texts, videos, graphics, branding, design, structure, software, source code, downloadable files, templates, and other materials, are owned by or licensed to us and are protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, lawful, and non-commercial use.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, sell, license, or otherwise exploit any part of the Service without our prior written consent.

11User Content

If you submit, upload, post, publish, or otherwise make available any content through the Service ("User Content"), you represent and warrant that:

  • you own or control all necessary rights to that User Content;
  • your User Content does not violate any law or third-party rights; and
  • your User Content is accurate and not misleading.

By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, adapt, display, and use such User Content solely as necessary to operate, improve, promote, and provide the Service.

We reserve the right to remove User Content at our discretion, including where we believe it violates these Terms or applicable law.

12Third-Party Services

The Service may contain links to or integrations with third-party services, platforms, tools, communities, hosting providers, payment processors, analytics providers, video platforms, communication tools, or other external resources.

We do not control such third-party services and are not responsible for their availability, security, content, policies, or practices. Your use of third-party services is governed by their own terms and policies.

13Privacy and Personal Data

We may collect and process personal data in connection with your use of the Service, including for purposes such as:

  • account creation and authentication;
  • providing access to courses, content, and services;
  • processing payments;
  • customer support;
  • service communications;
  • analytics, security, and fraud prevention;
  • improving the Service; and
  • marketing communications where permitted by law.

Where the General Data Protection Regulation ("GDPR") applies, we will process personal data in accordance with applicable data protection law, including the GDPR, and on an appropriate legal basis, such as performance of a contract, compliance with legal obligations, legitimate interests, or consent where required.

Where applicable under the GDPR, data subjects may have rights including the right to access, rectify, erase, restrict processing of, object to the processing of, and in certain cases receive a copy of their personal data in a portable format.

14International Transfers of Personal Data

Because the Data Controller is located in Ukraine and the Service may use international service providers, personal data may be processed in or transferred to countries outside the European Economic Area.

Where the GDPR applies and personal data is transferred outside the EEA, we will use appropriate safeguards where required by law, which may include adequacy decisions, Standard Contractual Clauses, or other lawful transfer mechanisms.

Where required by Article 27 GDPR, the Data Controller will designate a representative in the European Union and make the representative's contact details available in the applicable privacy documentation.

15Security

We take reasonable technical and organizational measures designed to protect personal data and the Service against unauthorized access, misuse, loss, alteration, or disclosure. However, no system can be guaranteed to be completely secure, and we do not warrant that the Service will always be secure or free from vulnerabilities.

16No Warranties

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis.

We make no warranties, representations, or guarantees, express or implied, regarding:

  • the availability, reliability, or uninterrupted operation of the Service;
  • the accuracy, completeness, or usefulness of any content;
  • the suitability of the Service for any specific purpose; or
  • the achievement of any specific learning, business, employment, or financial outcome.

17Limitation of Liability

To the fullest extent permitted by applicable law, we shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, loss of revenue, loss of opportunity, loss of data, or business interruption, arising out of or related to your use of or inability to use the Service.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms shall not exceed the total amount paid by you to us for the Service during the 12 months preceding the event giving rise to the claim, or EUR 100 if no payment has been made.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

18Indemnity

You agree to defend, indemnify, and hold harmless PE Vladyslav Furdak from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to:

  • your use of the Service;
  • your breach of these Terms;
  • your User Content; or
  • your violation of any law or the rights of a third party.

19Suspension and Termination

We may suspend, restrict, or terminate your access to the Service, in whole or in part, at any time, with or without notice, if:

  • you breach these Terms;
  • we suspect fraudulent, unlawful, or abusive activity;
  • your use creates risk or harm to us, the Service, or other users; or
  • we are required to do so by law.

Upon termination, the rights granted to you under these Terms will immediately cease. Provisions that by their nature should survive termination will remain in effect, including those relating to intellectual property, liability, indemnity, and dispute resolution.

20Changes to These Terms

We may modify these Terms from time to time. The updated version will be posted on seniornet.dev with a revised "Last Updated" date.

Your continued use of the Service after updated Terms become effective constitutes your acceptance of the revised Terms.

21Governing Law and Jurisdiction

These Terms are governed by the laws of Ukraine, without regard to conflict of laws principles.

Unless mandatory consumer protection law provides otherwise, any dispute, controversy, or claim arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the Commercial Court of Dnipropetrovsk Oblast, Ukraine.

22Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

23No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
